Terms of Service
Governing the use of Taraily.com by commercial HVAC, solar, electrical, and mechanical contracting companies.
1. Commercial Subscription Tiers & Flat Company Licensing
Taraily is a commercial B2B software platform offered exclusively under paid company subscriptions (Contractor Pro at €49/month, Commercial Fleet at €149/month, and Enterprise Custom at €499/month). Subscriptions are billed monthly via Stripe and include flat company-wide access without per-technician seat surcharges.
2. Electronic Signatures & Sealed Proposal Certificates (CERT #TAR-SIG)
When a contractor shares a proposal link (/q/[id]) with a customer, the customer's selection of a service tier (Standard, Recommended, or Complete) and execution of the digital signature pad generates a timestamped Digital Signature Certificate (CERT #TAR-SIG-...). Both parties acknowledge that electronic approvals recorded through Taraily constitute valid commercial acceptance under Regulation (EU) No 910/2014 (eIDAS) and the U.S. ESIGN Act, subject to the contractor's underlying service contract terms.
3. Customer Deposits (SEPA IBAN & Stripe Checkout)
Contractors are solely responsible for the accuracy of the company VAT ID, tax rate percentage, and SEPA IBAN bank coordinates configured in their Taraily workspace. Direct SEPA bank transfers flow directly from the customer's bank to the contractor's designated IBAN. Card deposits processed via Stripe Checkout are governed by the Stripe Connected Account / Merchant Agreement.
4. Governing Law & Jurisdiction
These Terms are governed by the laws of the Republic of Lithuania and applicable European Union commercial regulations. Any disputes arising under this Agreement shall be resolved in the competent courts of Vilnius, Lithuania. Questions may be directed to legal@taraily.com.
